This License Agreement (the “Agreement”) is entered into by and between Olak Technologies (“Licensor”) and the entity or individual agreeing to these terms (“Licensee”). This Agreement governs the use of the software provided by Olak Technologies.

  • License Grant:
    • Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable license to use the software provided by Licensor (the “Software”) for the term of this Agreement.
  • Restrictions:
    • Licensee shall not:
      • Sublicense, rent, lease, or otherwise transfer rights to the Software;
      • Decompile, reverse engineer, or disassemble the Software;
      • Remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols, or labels in the Software; or
      • Modify, adapt, translate, or create derivative works based upon the Software.
  • Ownership:
    • Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not convey to Licensee any interest in or to the Software, but only a limited right of use.
  • Support and Maintenance:
    • Licensor shall provide support and maintenance services for the Software as described in a separate support and maintenance agreement.
  • Warranty Disclaimer:
    • THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
  • Term and Termination:
    • This Agreement shall commence on the Effective Date and shall continue in effect until terminated as provided herein. Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within thirty (30) days of receipt of written notice of such breach.
  • Governing Law:
    • This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflicts of laws principles.
  • Entire Agreement:
    • This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
